• 50% upfront payment before project commencement
• 50% upon project completion and delivery

Late payments may result in project delays and may incur interest charges. We reserve the right to suspend services for overdue accounts.

6. Intellectual Property Rights

You retain all rights to the content, materials, and information you provide to us. By providing such content, you grant us a license to use it for the purpose of delivering our services.

6.2 Deliverables

Upon full payment, you will own the final deliverables created specifically for you. However, we retain the right to:

• Use the work in our portfolio
• Reuse general techniques, concepts, and know-how developed during the project
• Retain ownership of pre-existing materials and tools

6.3 Third-Party Materials

We may incorporate third-party materials (such as stock photos, fonts, or plugins) that are subject to their own licenses. You are responsible for obtaining appropriate licenses if required.

7. Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information shared with us during the course of our engagement. We will not disclose such information to third parties without your consent.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We will make reasonable efforts to correct any defects in our work.

To the maximum extent permitted by law, Xpress Digital & Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid for the specific service in question.

You agree to indemnify and hold harmless Xpress Digital & Technologies from any claims, damages, or expenses arising from your use of our services or violation of these terms.

Either party may terminate the service agreement with written notice. Upon termination:

• You remain responsible for payment of services rendered up to the termination date
• We will deliver any completed work upon receipt of payment
• Both parties will return or destroy confidential information

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
